We act as a service coordinator and platform, not the direct provider of most field services.

3. Independent Contractor Relationship

You acknowledge and agree:

All service providers are independent contractors (1099)
Contractors are not employees, partners, or agents of Vassar & Company Properties, LLC
We do not control the manner, method, or execution of contractor work
Contractors are solely responsible for licensing, insurance, and work performance

4. Service Requests & Bookings

By submitting a service request:

You agree to provide accurate and complete information
You authorize us to assign a contractor to your request
You understand that service availability is not guaranteed

We reserve the right to:

Decline or cancel any service request
Reassign contractors as necessary

5. Payments & Fees

A. Payment Processing

Vassar & Company Properties collects payment for services rendered
Payments may be processed through third-party providers

B. Pricing

Prices may vary based on scope of work, property condition, location, and urgency

C. Platform Fee

A portion of each job includes a service or platform fee retained by Vassar & Company Properties

D. Contractor Compensation

Contractors receive the net amount, defined as the job total minus Vassar & Company Properties fees and any applicable deductions

6. Cancellations & Refunds

A. Customer Cancellations

Cancellation terms may vary depending on the service
Late cancellations may be subject to fees

B. Refunds

Refund requests are reviewed on a case-by-case basis
No guarantee is made for full or partial refunds once services have been performed

7. No Warranty on Services

We do not guarantee:

The quality, safety, or legality of contractor services
That services will meet your expectations
That services will be uninterrupted or error-free

All services are provided on an “as is” and “as available” basis

8. Limitation of Liability

To the fullest extent permitted by law, Vassar & Company Properties, LLC shall not be liable for:

Damages caused by contractors
Property damage or loss
Personal injury
Delays or service interruptions
Indirect, incidental, or consequential damages

Our total liability shall not exceed $100 or the amount paid for the specific service in question, whichever is less

9. User Responsibilities

You agree to:

Provide safe and reasonable access to the property
Disclose known hazards or conditions
Treat contractors respectfully and lawfully
Not engage contractors outside of the platform to avoid fees

10. Prohibited Conduct

You agree not to:

Use the website for unlawful purposes
Provide false or misleading information
Interfere with platform operations
Attempt to bypass platform fees or protections

11. Intellectual Property

All website content, including:

Logos
Branding
Text
Images

are the property of Vassar & Company Properties, LLC and may not be used without prior written permission

12. Third-Party Services

We may use third-party providers for:

Payment processing
Scheduling
Communications

We are not responsible for the practices or policies of these third parties

13. Termination

We reserve the right to:

Suspend or terminate access to our services at any time
Refuse service to any individual or entity at our discretion

14. Indemnification

You agree to indemnify and hold harmless Vassar & Company Properties, LLC from any claims, damages, or liabilities arising from:

Contractor services
Violations of these Terms

15. Governing Law

These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles

16. Dispute Resolution

Any disputes shall be resolved through:

Good faith negotiation first
If unresolved, binding arbitration in the State of Florida

You waive the right to a jury trial and participation in class action lawsuits

17. Non-Circumvention

By using this platform, you agree:

Not to directly hire, solicit, or engage any contractor introduced through Vassar & Company Properties outside of the platform
Not to bypass or attempt to avoid platform fees

This restriction applies for a period of 12 months from the date of last service

18. Service Scope Disclaimer

Vassar & Company Properties is not responsible for:

Permits or inspections unless explicitly stated
Hidden damages or unforeseen conditions
Work outside the agreed scope

19. Changes to Terms

We may update these Terms & Conditions at any time
Changes will be posted on this page with an updated Effective Date
